Terms of Service

These Terms of Service ("Terms") govern your access to and use of the boilerplate generator service (the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms.

Who we are: The Service is operated by an individual sole proprietor (the "Operator", "we", "us").

1) Definitions

  • Account: Your registered user account for the Service.
  • Generated Code: Code, configuration, and template output produced by the Service for you to download, copy, or deploy.
  • Template(s): Reusable starter patterns, components, and scaffolding used by the Service to produce Generated Code.
  • Subscription: A paid plan granting time-limited access to the Service (e.g., annual).

2) The Service

The Service helps you generate software starter projects/boilerplates (including, where applicable, integrations such as authentication, payments, databases, hosting configuration, or similar components) based on options you select. The Service provides development accelerators, not guaranteed business outcomes.

We may update, change, or discontinue parts of the Service, Templates, or features at any time. Where reasonable, we will provide notice of material changes that affect active subscribers.

3) Eligibility and accounts

You must be able to form a legally binding contract to use the Service. If you are under the legal age of majority in your jurisdiction, you may use the Service only with permission of a parent or legal guardian.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your Account.
  • Ensuring information you meaningfully provide is accurate and up to date.

4) Acceptable use

You agree not to (and not to allow others to):

  • Use the Service in any way that violates applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Interfere with or disrupt the Service (including probing, scanning, load testing without permission, or introducing malware).
  • Reverse engineer, decompile, or attempt to extract source code of the Service (except to the extent permitted by applicable law).
  • Circumvent any access controls, rate limits, or usage restrictions.
  • Share, sell, sublicense, transfer, or provide your Subscription access to others (account sharing), unless explicitly allowed by your plan.

We may suspend or terminate Accounts that violate these Terms.

5) Subscriptions, billing, and renewal

5.1 Subscription term

Annual subscriptions provide access for one (1) year from the start of the paid term, unless otherwise stated at checkout.

5.2 Auto-renewal

Unless you cancel before renewal, your Subscription may automatically renew for the same term, and your payment method may be charged the renewal price (plus applicable taxes) in accordance with the checkout/renewal settings presented to you.

5.3 Fees and taxes

You agree to pay all fees shown at checkout, plus any applicable taxes. Prices may change over time; changes will apply to future billing periods as permitted by law and by the billing platform rules.

5.4 Non-payment

If we cannot process payment, we may suspend or restrict your access until payment is successfully processed.

6) Refund policy (limited refunds)

We offer limited refunds as follows:

  • Initial purchase: You may request a refund within 7 days of your first purchase of a Subscription, unless prohibited by law or unless you have engaged in excessive use of the Service during that period (for example, generating or exporting a high volume of outputs).
  • Renewals: Subscription renewals are non-refundable, except where required by law.
  • Request process: To request a refund, contact hello@vibecodemax.app and include your account email and purchase details.

Nothing in this section limits any mandatory consumer rights you may have under applicable law.

7) License and ownership

7.1 Your ownership of your product

You own the product code you build. This includes your app logic, content, branding, and any original additions you make.

7.2 License to Generated Code

Subject to your compliance with these Terms and payment of applicable fees, we grant you a perpetual, non-exclusive, worldwide, commercial license to use, modify, and distribute the Generated Code as part of your own products and services (including products you sell to end customers).

This license continues even after your Subscription ends, but does not grant you access to the Service without an active Subscription.

7.3 Restrictions: no template resale / competing generator

You may not:

  • Sell, sublicense, distribute, or make available the Generated Code or Templates as a standalone boilerplate/template product; or
  • Use the Service or Generated Code to build, market, or operate a competing boilerplate generator, template marketplace, or substantially similar service where the primary value is distributing templates/boilerplates rather than delivering your own end-user product.

7.4 Our ownership

We retain all rights, title, and interest in and to the Service, the website, branding, and any underlying tooling, processes, and Templates (except as licensed to you above).

8) Third-party services and your responsibilities

Generated Code may include integrations or references to third-party services (e.g., payment processors, hosting providers, databases, analytics, email, authentication).

You are responsible for:

  • Creating and maintaining your own third-party accounts.
  • Managing API keys/secrets and configuration.
  • Paying third-party fees.
  • Complying with third-party terms and applicable regulations (including privacy, payments, and security requirements).

We are not responsible for third-party outages, changes, security issues, or service interruptions.

9) AI and output disclaimer

If the Service uses AI or automated generation in any way:

  • Outputs may be incomplete, insecure, incorrect, or not unique.
  • You are responsible for reviewing, testing, and validating Generated Code before using it in production.
  • You should not submit sensitive personal data, secrets, or confidential information unless the Service explicitly provides a secure mechanism for that and you accept the associated risks.

10) Support

Support channels and response times (if any) are described on the Service website or in your plan details. We may change support offerings over time. We do not promise custom engineering, consulting, or implementation beyond what is stated in your plan.

11) Suspension and termination

We may suspend or terminate your access to the Service if you:

  • Breach these Terms,
  • Fail to pay amounts due,
  • Use the Service in a way that creates risk or legal exposure for us or other users.

You may stop using the Service at any time. Cancellation stops future renewals; access typically continues until the end of your paid term (unless terminated for cause).

Sections that by their nature should survive termination (including License and ownership, Disclaimers, Limitation of liability, and Governing law) will survive.

12) Disclaimers

To the maximum extent permitted by law:

  • The Service and Generated Code are provided "as is" and "as available", without warranties of any kind (express, implied, or statutory).
  • We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with future versions of third-party frameworks or services.

13) Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.
  • Our total liability for any claim arising out of or related to the Service will not exceed the amount you paid to us for the Subscription in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations. In that case, these limitations apply to the maximum extent permitted by law.

14) Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service, you agree that we can process your data in accordance with that policy.

15) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or via the Service). Continued use of the Service after the effective date of an update means you accept the updated Terms.

16) Governing law and jurisdiction (United Arab Emirates)

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts in the United Arab Emirates, unless applicable law requires otherwise.
